This is a legal agreement between you (either an individual or an entity) and Panasonic Corporation of North America ("PNA"), regarding the updated version of certain computer program you acquired as a part of our product (the "Software") and accompanying written materials.

PLEASE CAREFULLY READ THE TERMS OF THIS AGREEMENT BEFORE YOU DOWNLOAD THE SOFTWARE.

COPYRIGHT

PNA and/or its licensor(s) own the copyrights of the Software and its duplication. The copyright of the accompanying written materials is owned by PNA.
In addition to proprietary computer programs owned by or licensed to PNA, the Software contains a number of individual copyrighted open source software programs licensed under its applicable license terms including but not limited to GNU General Public License and GNU LESSER General Public License (collectively "Open Source Software Programs").

For Open Source Software Programs, please refer to the applicable license terms included in the "Software License" menu on Product. In the event of any conflict between the terms under this AGREEMENT and the applicable license terms of Open Source Software Programs, the applicable license terms of Open Source Software Programs shall prevail.

GRANT OF LICENSE

1. PNA grants to you a non-exclusive, royalty-free license to use the Software.
2. You may not translate, adapt, modify, change, decompile, nor disassemble all or part of the Software, excluding Open Source Software Programs, nor permit any third party to do these things, except to the extent applicable laws specifically prohibit such restriction.
3. You undertake to supervise and control the use of the Software in accordance with the terms of this Agreement.
4. You undertake to reproduce and include the copyright notice of PNA and/or its licensor(s) on all or any copies of the updated Software.

WARRANTY

You assume full responsibility for selection of the Software and its operation/non-operation and the results obtained there from. THE SOFTWARE IS PROVIDED 'AS IS', AND PNA DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, WITH RESPECT TO THE SOFTWARE. IN NO EVENT SHALL PNA BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES WHATSOEVER SUFFERED BY YOU OR ANY USER OF THE SOFTWARE (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF PNA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXPORT CONTROL

You may not download nor re-export the Software except in full compliance with applicable export control laws and regulations. None of the Software may be transferred nor re- exported to any end-user who you know or have grounds for suspecting will utilize it in the design, development or production of nuclear, chemical or biological weapons or the design, development or production of missiles therefore. In addition, but without limitation, no copies of the Software may be transferred nor re-exported i) into Cuba, Iran, Iraq, Libya or North Korea; ii) to anyone (either an individual or an entity) on the US Commerce Department's Denied Persons List; and iii) in a way otherwise prohibited by relevant U.S. authorities.

MISCELLANEOUS

PNA may terminate this license at any time in the event of your breach of the terms of this Agreement. This Agreement shall be governed by and construed in accordance with the laws of the State of New York, U.S.A. This Agreement sets forth the entire agreement between you and PNA.
